User agreement for Morsfera services

1. General provisions

1.1. MORSFERA LLC (hereinafter referred to as «Morsfera», «Administrator») offers Internet users (hereinafter referred to as «User») access to the services of www.morsfera.com (hereinafter referred to as «Services») under the terms of the User Agreement (hereinafter referred to as «Agreement»).

1.2. This Agreement also constitutes a public offer of Morsfera in accordance with the Art. 437 of the Civil Code of the Russian Federation.

1.3. All services of MORSFERA LLC, as well as any development and addition of new services, are subject to this Agreement.

1.4. By starting to use any service or its functions or by registering the User is considered to accept the terms of the Agreement in full without any reservations or exceptions. In case of disagreement of the User with any of the provisions of the Agreement the User has no right to use the services of Morsfera.

1.5. Use of Morsfera’s services is governed by this Agreement as well as by the terms of the Privacy Policy. Morsfera reserves the right to change terms of this Agreement at any time by publishing new version of the Agreement without any special notification to Users. The changes come into effect for Users from the date of publication of the new version of the Agreement, unless otherwise stipulated by the new version of the Agreement. Morsfera is not responsible for notifying Users about such changes.

1.6. The use of certain services may be governed by special conditions, which are an integral part of this Agreement, existing in the form of a separate document, rules, instructions, directives and/or explanations posted directly on the service.

1.7. Each Party to this User Agreement guarantees to the other Party that it has the necessary legal capacity and capacity, as well as all rights and powers necessary and sufficient for the conclusion and execution of the Agreement in accordance with its terms.

2. User account

2.1. To use some services of Morsfera or some separate functions of the services the User has to pass the registration procedure, because of which a unique account will be created.

2.2. When specifying information during registration on the Services, as well as later when changing and/or supplementing such information, the User undertakes to report only relevant and current information that corresponds to reality.

2.3. The Administrator has the right to verify the information provided by Users when using the Services. Based on the results of such verification, the Administrator may, at its sole discretion, refuse to register, authorize the User, or use all or any of the Services.

2.4. The Administrator has the right, at its own discretion, to impose restrictions on the registration and/or authorization of the User, as well as on the use of any Services.

2.5. Personal information of the User defined by the Privacy Policy and contained in the User’s account is stored and processed by the Administrator in accordance with the terms of the Privacy Policy (link).

2.6. When registering, the User specifies a valid e-mail address, and chooses the password for access to the account. The administrator has the right to set requirements for the login and password (length, allowable characters, etc.).

2.7. User is solely responsible for the security of the means of access to the account chosen by him/her, as well as to independently ensure their confidentiality. User is solely responsible for all actions performed under the User’s account. At the same time, all actions within or with the use of the services of Morsfera under the User’s account are considered to be made by the User, except when the User, according to the procedure stipulated in clause 2.8. 2.8. notified the Administrator about the unauthorized access to the services or violation of confidentiality of the means of access to the account.

2.8. The User must immediately notify the Administrator of any unauthorized access to the Services using the User’s account and/or any breach of confidentiality of its means of access to the account.

2.9. Certain categories of User accounts may restrict or prohibit the use of certain Services or their individual features if it is provided for during registration or in the terms of use of a particular service.

2.10. Termination of Registration. The Administrator has the right to block or delete the User’s account, as well as prohibit access using any account to certain Services, and delete any content without explanation, including if the User violates the terms of the Agreement or the terms of other documents stipulated in clause 1.5. of the Agreement.

3. Terms of Service

3.1. The User is solely responsible to third parties for their actions related to the use of Services, including, if such actions lead to a violation of the rights and legitimate interests of third parties, as well as for compliance with the law when using the Service.

3.2. When using the Services, the User may not:

3.2.1. reproduce, repeat, and copy, sell, and resell, as well as use for any commercial purposes any parts of the Morsfera services (including content available to the User through the Services), or access to them.

3.2.2. upload, send, transmit or otherwise post or distribute content that is illegal, harmful, defamatory, offensive to morality, displays (or advocates) violence or cruelty, violates intellectual property rights, advocates hatred and/or discrimination against people on racial, ethnic, gender, religious, social grounds, contains insults to any persons or organizations, contains elements (or advocates) of pornography, child erotica

3.2.3. violate the rights of third parties, including minors, or harm them in any way;

3.2.4. impersonate another person or a representative of an organization or community without sufficient rights, as well as to use any other forms and methods of illegal representation of other persons in the network, as well as misleading users or the Administrator about the properties and characteristics of any subjects or objects;

3.2.5. upload, send, transmit or in any other way post or distribute content, in the absence of rights for such actions under the law or any contractual relationship;

3.2.6. upload, send, transmit or in any other way place or distribute unauthorized advertising information, spam, or use Morsfera services exclusively for redirecting users to other domains pages;

3.2.7. upload, send, transmit or otherwise post or distribute any material that contains viruses or other computer code, files or programs designed to disrupt, destroy, or limit the functionality of any computer or telecommunications equipment or programs for unauthorized access;

3.2.8. collect and store personal data of other persons;

3.2.9. otherwise violate the rules of law, including the rules of international law.

4. User content

4.1. User is solely responsible for compliance with the content posted by the User to the requirements of applicable law, including liability to third parties in cases where the placement of the User of a particular content or content violates the rights and legitimate interests of third parties, including personal non-property rights of authors, other intellectual rights of third parties, or infringe their own intangible benefits.

4.2. The User acknowledges and agrees that Morsfera is under no obligation to review any type of content posted or distributed by the User through the Services and that the Administrator has the right (but not the obligation) to refuse to post or distribute content to the User or remove any content that is available through the Services at its sole discretion. The User understands and agrees that it must evaluate all risks associated with the use of content, including an assessment of the reliability, completeness, or usefulness of that content.

4.3. The User acknowledges and agrees that the technology of the Services may require copying (reproduction) of the User’s content by the Administrator, as well as its processing to meet the technical requirements of a particular service.

5. Exclusive rights to the content and content of the Services

5.1. All exclusive rights to the results of intellectual activity lawfully posted on the Services belong to the Administrator or their legal owners. The User who posted the result of intellectual activity on the Services is deemed to have granted the Administrator a simple (non-exclusive) license for the entire term of copyright or exclusive rights to such result of intellectual activity in respect of all actions of the Administrator provided by this Agreement.

5.2. No information and data posted on the Services by third parties can be regarded as an official source of information. The Administrator shall not be liable for any indirect losses or other costs that the User may incur because of using the information provided by third parties.

5.3. The User guarantees that when using the Services, he will not violate the rights of third parties, the information posted is reliable and all information and materials, including the results of intellectual activity will be posted in accordance with the requirements of the law.

5.4. Administrator reserves the right to remove from its servers any information or material that, in its opinion, is inappropriate, undesirable or in violation of this Agreement.

6. No guarantees

6.1. User uses Morsfera services at his/her own risk. Services are provided «as is». Administrator is not responsible for technical failures, interruptions in work and providing Services.

6.2. The Administrator is not responsible for any direct or indirect damages, which occurred through no fault of the Administrator, including due to:

6.1.1. use or inability to use the Services, including the information posted on them;

6.1.2. unauthorized access to the User’s account or User’s personal information or User’s confidential information;

6.1.3. statements or conduct of any third party on the Services.

6.3. User is solely responsible for the information, materials and other content posted by him on Services. Administrator is not responsible for the content of such content and their compliance with legal requirements, for copyright violations, unauthorized use of trademarks, company names and logos, as well as for possible violations of the rights of third parties in connection with the placement of information, materials, and other content on Services. In the case of claims from third parties related to such postings, the User shall settle such claims at its own expense.

6.4. In case of a material breach of the terms of this Agreement by the User, the Administrator is entitled to recover from the User losses in full (actual damages and lost profits).

6.5. Under any circumstances, the Administrator’s liability under Article 15 of the Civil Code of the Russian Federation is limited to 10,000 (ten thousand) rubles of the Russian Federation and is imposed upon him if his actions are guilty.

7. Other provisions

7.1. This Agreement shall be governed by and construed in accordance with the laws of the Russian Federation. Matters not regulated by this Agreement shall be resolved in accordance with the laws of the Russian Federation. All possible disputes arising from the relations governed by this Agreement shall be resolved in the manner prescribed by the applicable laws of the Russian Federation, in accordance with the norms of Russian law.

7.2. In respect of services provided within the framework of this Agreement on a free of charge basis, the norms of consumer protection stipulated by the legislation of the Russian Federation may not be applied.

7.3. If the Services allow you to subscribe for a fee, upgrade your account for a fee, or use promotional tools/tools for a fee, you must pay a prepayment for the services provided.

7.4. To receive paid services and their further payment the User ties his bank card to his account (hereinafter — the Tied Card). For the purposes of this Agreement, any bank card that is linked to User’s account is considered a Tethered card. Morsfera has the right to debit the amount, that is the cost of subscription to Morsfera’s services, from any of the Tethered cards. By specifying the data of the Tethered card and further use of the Tethered card the User confirms and guarantees to provide true and full information about a valid bank card issued in his name; to comply with the rules of international payment systems and requirements of the issuing bank that issued the Tethered card, including the procedure of non-cash settlements.

7.5. Nothing in this Agreement may be construed as establishing between the User and the Administrator an agency relationship, partnership relationship, joint venture relationship, personal employment relationship, or any other relationship not expressly provided for in this Agreement.

7.6. If for any reason one or more provisions of this Agreement are held invalid or unenforceable, the validity or enforceability of the remaining provisions shall not be affected.

7.7. Services may contain links to other sites (third party sites) that are not under the control of the Administrator. The Administrator does not verify and is not responsible for the content of such sites, including any posted materials and information, the availability of third-party sites and the consequences of their use by the User. Links to any third-party websites, projects and/or services, and/or products of third parties posted on the Services do not constitute their approval by the Administrator, unless expressly stated otherwise.

7.8. This Agreement is in the Russian language and in some cases may be provided to the User for review in another language. In the event of a discrepancy between the Russian version of the Agreement and the version of the Agreement in another language, the provisions of the Russian version of this Agreement shall apply.
